On April 21th, according to the relevant provisions of the Company Law and the SWS’ Articles of Association, SWS held the third session of the sixth Board of Directors and the second session of the sixth Board of Supervisors
Chairman Wang Qi hosted the third session of the sixth Board of Directors, the Director Zhang Haisen, Sheng Jigang, Wang Xiaoxu, Tao Jian, Zhang Xinlong and Jiang Yina attended. SWS top managers, CSSC Inspection Group’s comrades, the main persons in charge of the Strategy and System Management Department, the Financial Management Department, the Audit Department attended the conference.
Chairman Wang Qi presented the SWS 2016 Annual Board of Directors’ Work Report, and President Sheng Jigang presented SWS 2016 Annual President’s Work Report, Vice Chief Economist Wang Jingjun presented 6 motions for the SWS 2017 Annual Fixed Assets Investment Plan, the director Pan Yuze presented 7 motions for the SWS 2016 Annual Financial Accounts Report and the 2017 Annual Financial Budget, the Vice director Zhang Zichen presented SWS 2016 Audit Report and the 2017 Annual Audit Work Plan at the meeting. The meeting point out that with joint efforts from all SWS staff under the correct leadership of CSSC, CSIC and SWS Board of Directors, the meticulous organization of SWS Top Management, SWS’ shipbuilding completions ranking world 5th by DWT in 2016, achieved a sustained and stable development. Facing with the current severe market environment, every director put forward some targeted suggestions and measures on aspects of the strategic planning, production management, financial management, avoiding risks, and made some recommendations for pushing the cruise ship project. The Boards of Directors laid hopes on the Top Management that will lead all staff around the management guideline of "slimming to break the risk, grabbing the order by sticking the bottom line, leaning management for efficiency, breakthrough the high-end field to win development" and the management subject of "reshaping and stabilizing", continue to carry forward the spirit of working hard, keep the mission in mind and make arduous efforts in the new journey, striving for creating a new situation of reform and development of SWS.
All the directors unanimously considered and approved 16 motions of the SWS 2016 Annual Chairman’s Work Report, SWS 2016 Annual President’s Work Report, SWS 2017 Annual Fixed Assets Investment Plan, SWS 2016 Annual Financial Accounts Report and the 2017 Annual Financial Budget, SWS 2016 Audit Report and the 2017 Annual Audit Work Plan, and signed the resolution on the spot.
Meanwhile, SWS held the second session of the sixth Board of Supervisors. Chairman Xu Ping hosted the conference and presented SWS 2016 Annual Board of Supervisors’ Work Report, supervisor Su Long, Xiang Xiangde, Wu Yi attended. The meeting point out that SWS’ production and operation works are in line with regulatory requirements and the decision-making process are democratic. The Board of Supervisors will make suggestions and due diligence on the company's standardized operation to safeguard the interests of the shareholders of the company by the principle of more objective, fair and pragmatic. All supervisors unanimously considered and approved the SWS 2016 Annual Board of Supervisors’ Work Report, SWS 2016 Annual Board of Directors’ Work Report, SWS 2016 Annual President’s Work Report, SWS 2016 Annual Financial Accounts Report and 2017 Annual Financial Budget, and signed the resolution on the spot.
